Confidentiality Commitment
Introduction
Trust Is Not Assumed. It Is Designed.
Most advisory firms ask clients to trust them. We prefer to explain exactly how that trust is protected.
This document outlines Ziscale's commitments regarding confidentiality, data ownership, information security, and the separation of operational and advisory engagements.
It applies to all operational, strategic, and transaction-related services provided by Ziscale and is reviewed before the start of every engagement.
Article 1 — Client Ownership of Information
All information, data, documents, analyses, and materials belonging to the Client and shared during a Ziscale engagement remain the exclusive property of the Client. This includes, but is not limited to:
• Operational data and performance metrics
• Internal processes, playbooks, and documentation
• Organizational assessments and dependency mapping
• Financial information and strategic plans
Ziscale claims no ownership rights over Client information.
No information may be shared, transferred, referenced, or reused without the Client's prior written consent.
Article 2 — Strict Confidentiality
All information received during an engagement is treated as strictly confidential, regardless of format. This commitment applies to:
• All Ziscale personnel assigned to the engagement
• Approved subcontractors and partners subject to equivalent confidentiality obligations
• Any internal team not directly assigned to the Client engagement
Access is granted strictly on a need-to-know basis.
Article 3 — The Ziscale Information Barrier
Operational engagements and transaction advisory engagements are managed through separate teams and separate mandates.
This separation is designed to eliminate conflicts of interest and protect Client information.
Accordingly:
• No information is shared between operational and advisory teams without written Client authorization
• No consultant embedded within a Client organization may participate in a transaction involving that Client
• Any transaction-related engagement requires a separate agreement and dedicated team
We refer to this separation as the Ziscale Information Barrier.
Article 4 — Use of Aggregated Information
Ziscale may use aggregated and fully anonymized information for benchmarking, research, and continuous improvement purposes.
Such information:
• Cannot identify a Client
• Cannot identify employees or stakeholders
• Cannot reveal financial performance or strategic decisions
• Cannot be traced back to a specific organization
If there is any uncertainty regarding anonymity, the information will not be used.
Article 5 — Transaction Services Require Explicit Authorization
Transaction-related services are never included automatically in an operational engagement.
These services may include:
• Introductions to private equity firms
• Introductions to strategic acquirers
• Exit readiness advisory
• Fundraising support
• Valuation preparation
• Transaction advisory services
Such services require separate approval and engagement documentation.
Article 6 — Client Rights
Clients retain the right to:
• Access information provided to Ziscale
• Request deletion of information when legally permissible
• Understand who has access to their information
• Withdraw consent for information usage at any time
• Request clarification regarding confidentiality procedures
Transparency remains a core principle of every engagement.
Article 7 — Duration of Commitment
The confidentiality obligations described in this Commitment remain in effect throughout the duration of the engagement and continue for five (5) years following the termination of the contractual relationship between Ziscale and the Client.
